Board Governance

 

Role of the Board of Directors

The board of Chilliwack Restorative Action & Youth Advocacy Association is responsible for the highest level of decision-making and legal authority in the organization. By law, it is ultimately accountable for, and has authority over, the organization's resources and activities. The board articulates and communicates the organization's vision to the membership and community. Through policy, the board defines the parameters within which the organization will carry out its work.

 

Responsibilities of the Board of Directors

Governing boards have the ultimate responsibility for the organization's:

  • Purpose; by establishing and implementing the organization's mission and vision
  • Continuity; by providing continuity for managing and implementing the organization's affairs
  • Progress; by setting the rate of progress that the organization takes in reaching its mission and vision
  • Identity; by securing the community support and appreciation for the organization's objects, beliefs, vision, mission, and long-term direction.

 

Elections of Directors

Elections for the Board of Directors are conducted each year at the Annual Membership meeting held in June.  Directors are elected for a 12 month term.

 

Recruitment of Directors

Annually the Nominating Committee solicits nominations for the Board of Directors through solicitation of members, personal contacts and advertising.  Prospective Directors must meet certain conditions which are reviewed in detail as part of the nominating process.

 

Time Commitment

The position of Director requires approximately 4 hours per month.  This time commitment may include reviewing Board materials, participation in association activities, and attending Board and Committee meetings.

 

Qualifications

Directors must be Members, have attained the age of majority or older, with power under law to contract.

 

Compensation

To achieve its mission, the member of the association who desires involvement in the association’s affairs is expected to understand and accept the commitment of volunteer time.  There is no financial remuneration provided to Directors.

Staff

 

Denis Desautels is the Executive Director and reports to the Board of Directors.  He is accountable for the overall day-to-day operation of the Association including community relations, volunteer management, administration and fund development.

 

Kim McLandress is the Program Coordinator. She is responsible for referral intake, setting up Committees and Forums, volunteer assignments, database management and public awareness.
